Terms & Conditions

Please read this carefully. By accessing Deragon web site at Deragons.com (the "Web Site") you are agreeing to the terms that appear below, whether or not you register as a Candidate or Advertising user. If you have any questions regarding these Terms and Conditions, please contact info@Deragon.com .

1. Introduction

As a user, you will be able to access material on some areas of the Web Site without going through the registration process. Certain areas of the Web Site are only open to you if you register.

2. Services

2.1. Deragon shall publish on the Web Site the Adverts and provide CV Services in accordance with the Client Order Form and clause 3 of these Terms and Conditions.

2.2. Provided that the Client has paid the Fees, Deragon shall use reasonable endeavours to publish each of the Client's Adverts on the Web Site commencing on a date specified within the Client Order Form within five working days of the Client notifying Deragon that the Advert is ready for publication or (if later) the date on which the Fees have been paid. Deragon accepts no responsibility for its failure to adhere to such timescale if such failure arises for any technical reason or any other reason beyond Deragon's reasonable control. Deragon shall allow access to the CV Services for on-line searches and provide copies of the requested CV(s) in accordance with the client order form and these Terms and Conditions. Deragon makes no warranty whatsoever as to the availability or suitability of the candidate.

2.3. Deragon shall apply reasonable skill and care to the performance of its services under these Terms and Conditions.

3. Adverts

3.1. Deragon agrees to use reasonable endeavours to provide the services that it promotes. Deragon shall provide the Client with full use of its Advertising area. Deragon may, at its discretion and without recourse to the Client modify or withhold any material submitted by the Client for advertising.

3.2. The Client takes full responsibility for any person (whether or not authorised by the Client) who uses the Client's user name and password to access the Web Site. Deragon shall not be liable for any consequences, including financial loss or damages, arising out of any third party using the Client's user name or password to access the Web Site. The Client acknowledges that Deragon may refuse to post additional Adverts once the agreed number of Adverts have been published for the Term. The Client shall notify Deragon when the Advert(s) is/are ready for publication on the Web Site.

3.3. The Client may use the Advertiser Area to create and edit Adverts (up to a maximum of the Number of Credits) subject to the licence terms set out in clause 7.

3.4. The Client represents, warrants and undertakes that each of the Adverts
(a) Will not contain obscene or indecent or other unlawful material;
(b) Will not contain materials which infringe the copyright, trademark rights, moral rights or any other intellectual property rights of any third party;
(c) Will comply will all applicable legislation, codes and practices in the UK and in any other country to which the Advert(s) is/are targeted relating to employment including without limit legislation regarding unlawful discrimination on the grounds of sex, racial or disability discrimination;
(d) Will not contain any defamatory material;
(e) Will not contain any virus;
(f) Will not contain any other material which is likely to harm the reputation of Deragon or the Web Site;

3.5. If in Deragon's reasonable opinion any Advert(s) is likely to infringe any of the warranties and representations in clause 3.4, then Deragon may (without prejudice to its other rights and remedies) remove such Adverts.

3.6. The Client shall indemnify and keep fully indemnified Deragon from and against all loss, actions, proceedings, claims, demands, costs (including without prejudice to the generality of this provision the legal costs of Deragon) awards and damages arising directly or indirectly as a result of any claim which, taking the claimants allegations to be true, would result in a breach by the Client of clause 3.4.

3.7. The Client may use such information directly or indirectly derived from Deragon only for internal hiring purposes for providing active recruitment and replacement services, general human resource and other advertising permitted on the Web Site. The Client shall not use information directly or indirectly derived from the Web Site for any other purpose. The Client shall not distribute, disclose, transfer or sell any information directly or indirectly derived from Deragon's technology system to third parties except for the use as set forth above. The Client shall not use information directly or indirectly derived from Deragon's technology system to provide services in competition with or substantially similar to the services provided by Deragon.

4. Posting CV's

4.1. Rules: Your Document may not contain:
URLs or links to Web sites (To advertise your company or Web site) Copyrighted material (unless you own the copyright or have the owner's permission to post the copyrighted material) Trade secrets (unless you own them or have the owner's permission to post them). Material that infringes on any other intellectual property rights, or on the privacy or publicity rights of others Anything that is sexually explicit, obscene, libelous, defamatory, threatening, harassing, abusive, or hateful Anything that is embarrassing or offensive to another person or entity.

4.2. You may not use your Document to:
Impersonate another person, living or dead. Post false, inaccurate or misleading information. Post advertisements or solicitations of business (including, but not limited to, Multi-Level Marketing [MLM] positions, Email Processors, franchises, "club memberships," distributorships, or anything requiring a monetary investment by the User).Post chain letters or pyramid schemes Post opinions or notices, commercial or otherwise.
Your Document must contain sufficient detail to convey clearly your qualifications as a candidate for employment. Documents from any third party charging a fee or restricting complete access to all resume information are prohibited.
Resume postings must contain the accurate resume of a living individual seeking employment on a full-time, part-time, Interim, Non-executive or contractual basis on his or her own behalf.
Deragon will remove contact details and current employer from all documents posted. The full Document will be emailed to the client once the client has requested the CV Document.
Deragon is under no obligation to monitor the Documents posted on the Site, but will monitor Documents and Documents found to violate the above Posting Rules may be removed. Users who violate these Posting Rules may be denied access to the Site. Deragon is the sole interpreter of the Posting Rules.

5. Fees

5.1. To open an account the Client or Deragon will complete the Web Site registration process and complete and sign a Client Order Form. All Client signatures must be by a duly appointed and authorised representative of the Client. Upon receipt of the Client Order Form the Client will be allowed the management of their Adverts through the Advertiser area.

5.2. Deragon shall provide an invoice to the Client for the Fees indicated in the Client Order Form, which will be paid within 14 days of receipt. On receipt of payment Deragon will display the Adverts on the Web Site in accordance with the timescales set out in Clause 2.2 above.

5.3. Local Value Added Tax, where applicable, shall be paid by the Client, subject to the law at that time.

5.4. In the case of a Credit Card transaction, once the customer/client has posted a job and accepted our terms and conditions, no refunds will be given after the Credit Card payment transaction has been completed.

6.Intellectual Property Rights

6.1. Subject to Clause 6.3, the entire copyright and any other intellectual property rights in the Adverts throughout the world shall be and shall remain the exclusive property of the Client.

6.2. The Client grants Deragon a non-exclusive licence to publish the Adverts on the Web Site. Other than as set out expressly within these Terms and Conditions or with the prior written agreement of the Client, Deragon obtains no rights to use the Adverts for any other purpose.

6.3. The entire copyright, database rights and any other intellectual property rights in the Web Site (including any Software on the Web Site) throughout the universe and all rights in the domain name of the Web Site, the name "Deragons.com" and all other trade marks of Deragon shall be and shall remain the exclusive property of Deragon or its licensors. Other than the rights expressly granted in these Terms and Conditions, the Client obtains no rights in the Web Site. All content included on Deragon's Web Site, such as text, graphics, logos, button icons, images, video and audio clips and software is the property of Deragon or it's contents suppliers and protected by U.K. and International copyright laws. The compilation (meaning the collection, arrangements and assembly) of all content on this Web Site is the exclusive property of Deragon and protected by U.K. and international copyright laws. All software on this Web Site is the property of Deragon or it's software suppliers and protected by U.K. and International copyright laws. Any other use, including the reproduction, display or performance of the content on this Web Site is strictly prohibited. The Client will supply and authorise use of digital image, to Deragon's requirements of their corporate logo for the sole purpose of branding the Client's advertised vacancies. Should a Client wish to have their corporate details made available within the directories, they will supply and authorise the use of all materials. It is the Client's responsibility to ensure that the all Adverts are amended where the criteria has changed, or removed from the system as soon as the Advert need no longer exist.

7. Termination

7.1. These Terms and Conditions shall commence on the date on which the Client submits its details to Deragon for the purpose of registration and, subject to earlier termination under clause 6.2, shall terminate automatically on expiration of all applicable Terms in relation to a particular Client.

7.2. Either Deragon or the Client may terminate these Terms and Conditions with immediate effect by giving written notice to the other ("the Defaulting Party") if
(a) The Defaulting Party is in breach of any of its obligations under these Terms and Conditions and, if the breach is capable of remedy, it has continued unremedied for a period of twenty one days after the other party has given notice to the Defaulting Party specifying the breach and the steps required to remedy it; or
(b) The Defaulting Party shall have a receiver or an administrative receiver appointed over it or over any part of its undertaking or assets or shall pass a resolution for winding up (otherwise than for the purpose of a bona fide scheme of solvent amalgamation or reconstruction) or a court of competent jurisdiction shall make an order to that effect, or if the Defaulting Party shall become subject to an administrative order or shall enter into any voluntary agreement with its creditors or shall cease or threaten to cease to carry on business.

7.3. The expiry of the Term or the termination of these Terms and Conditions (for any reason) shall; (i) be without prejudice to any other rights or remedies which either Deragon or the Client may be entitled to under these Terms and Conditions or at law; (ii) not affect any accrued rights or liabilities which either Deragon or the Client may then have; and (iii) not affect the coming into or continuance in force of any provision of these Terms and Conditions which is expressly or by implication intended to come into or continue in force after such termination.

7.4. If on expiry of the Term or termination of these Terms and Conditions (for any reason), the Client has not posted the Number of Adverts then there will be no obligation on Deragon to extend the Term or to refund any part of the Fees.

7.5. Deragon may terminate these Terms and Conditions, including any Client Order Form, at any time by giving 7 days prior notice to the Client.

8.Licence to use the Web Site

8.1. Deragon grants to the Client a non-exclusive right to run the Software as permitted by these Terms and Conditions. The Software is and remains the property of Deragon. The Client obtains no rights in the Web Site and Software except the right to use it as expressly granted in this clause.

8.2. The Client may only use the Software loaded on the Web Site. It may only use the Advertiser area and other Software on the Web Site for the purpose of creating and editing Adverts and Client details.

8.3. The Client shall not
(a) download the Software from the Web Site;
(b) use, copy or transfer the Software except as permitted by these Terms and Conditions;
(c) distribute, rent, loan, lease, sub-licence or otherwise deal in the Software;
(d) alter, adapt, merge, modify or translate the Software in any way for any purpose, including, without limitation, for error correction;
(e) reverse-engineer, disassemble or decompile the Software except as provided in section 50B of the Copyright, Designs and Patents Act 1988.
(f) allow any third party access to, or use of, the Software.

8.4. Upon termination of the Agreement for any reason the licence granted in this Clause 7 shall automatically terminate and the Client shall immediately cease use of the Software and any such use of the Software after termination of such licence is unlawful.

9. Warranties and Liabilities

9.1. Except as expressly provided in these Terms and Conditions, all warranties and representations, express or implied and howsoever arising, in relation to the Software, Web Site and the provision of services under these Terms and Conditions are excluded to the maximum extent permitted by law including, without limitations, all warranties in relation to the following:
(a) Accuracy of Information : While all reasonable efforts have been made to ensure that the information emanating form Deragon is accurate, Deragon will not be liable for any loss or damage howsoever arising as a result of the Client relying on such information. Deragon does not warrant, nor accept liability in any way for, the content or accuracy of Adverts;
(b) Availability of the Web Site;
(c) Effectiveness of the Web Site or Deragon as Employment Agency or Recruitment Firm : Deragon makes no warranties nor gives any guarantees in respect of the effectiveness of any Adverts, the success of those seeking employment and is not involved or responsible for any employment decision; and
(d) Performance of Web Site: Deragon does not warrant that the Software and Web Site will be error free or that the Web Site or its server are free of computer viruses or other harmful mechanism. The Client must take its own adequate protection against these. The Client remains responsible for any consequences, including costs and losses, arising from use of the Web Site or Software.

9.2. Deragon, to the maximum extent permitted by law, excludes all liability including, without limitation, liability for special , indirect or consequential loss (including loss of profits, earnings and goodwill) whether or not Deragon has been advised of the possibility of such.

9.3. Deragon's entire liability to the Client arising howsoever out of or in connection with the Agreement ( including, without limitation, breach of contract, misrepresentation, negligence and any other tort) is limited to the Fees paid by the Client to Deragon.

9.4. Deragon does not limit or exclude liability for death or personal injury caused by Deragon's negligence or for fraudulent misrepresentation.

10.Confidentiality

10.1 The Client undertakes to Deragon to keep confidential all information (written or oral) concerning the business or affairs of Deragon that it has received as a consequence of the discussions leading up to these Terms and Conditions or which it subsequently receives or creates as a consequence of the performance of these Terms and Conditions ("Confidential Information").

10.2 Clause 10.1 shall not apply to Confidential Information which the Client is required to disclose by law or which the Client can demonstrate was; (i) already in the Client's possession prior to its receipt from Deragon; (ii) was subsequently disclosed to it lawfully by a third party who did not obtain such Confidential Information (directly or indirectly) from Deragon; or (iii) was in the public domain at the time of receipt by the Client or has subsequently entered the public domain other than as a result of a breach of clause 9.1 by the Client.

11.General

11.1. Headings in these Terms and Conditions are for convenience only and will have no legal meaning or effect.

11.2. Force Majeure. Deragon shall not be liable for any delay or failure to perform any of its obligations under these Terms and Conditions if such delay or failure is due to any cause beyond its reasonable control including without limit any technical reason preventing the publication of the Adverts.

11.3. Notices. All notices to be given under these Terms and Conditions shall be in writing and shall be sent by first class post or facsimile to the relevant address on the Client Order Form. However, if either party sends a notice under these Terms and Conditions by facsimile, it shall also send the original notice by post, posted first class within twenty-four hours of the transmission of the relevant facsimile. All notices sent by post shall be sent to the address of the other party set out in these Terms and Conditions as appropriate. Any notice given under these Terms and Conditions which is sent by post in accordance with this clause 10 which is not returned to the sender as undelivered shall be deemed to have been received two days after posting (if the address of the other party is in the United Kingdom) or four days after posting (if the address of the other party is outside the United Kingdom). Any notice given under these Terms and Conditions, which is sent by facsimile in accordance with this clause shall be deemed to have been received on the date of transmission.

11.4. Entire Agreement. These Terms and Conditions constitutes the entire agreement between the Client, User and Deragon. No addition to or modification of these Terms and Conditions shall be effective unless it is in writing and signed by a duly authorised representative of both the Client and Deragon.

11.5. No Joint Venture or Partnership. Nothing in these Terms and Conditions shall create, or be deemed to create, a partnership or joint venture between the Client and Deragon or the relationship of principal and agent between the Client and Deragon.

11.6. No Waiver. No delay or failure on the part of any party to exercise or to enforce any right given to it by these Terms and Conditions or at law, or any custom or practice of the Client and/or Deragon at variance with the terms of these Terms and Conditions shall constitute a waiver of either the Client's or Deragon's respective rights under these Terms and Conditions or operate so as to prevent the exercise or enforcement of any such right at any time.

11.7. Severability.If any provision of these Terms and Conditions is held to be invalid or unenforceable, in whole or in part, that provision or part shall to that extent be deemed not to form part of these Terms and Conditions. However, the validity and enforceability of the remainder of these Terms and Conditions shall not be affected.

11.8. Assignability and Sub-Contracting. The Client may not assign the whole or any part of its rights or obligations under these Terms and Conditions without the prior written consent of Deragon. Deragon may assign or sub-contract the whole or any part of its rights or obligations under these Terms and Conditions without restrictions.

11.9. Law and Jurisdiction. These Terms and Conditions shall be governed by and construed in accordance with English law and the Client and Deragon submit to the non-exclusive jurisdiction of the Courts of England and Wales . And where applicable the European Courts.

Deragons has created this privacy statement to demonstrate its commitment to privacy. The information we gather and how this is disseminated for Deragons is outlined below. By submitting your information to this site you agree to the use of that information as set out below. Changes to this policy will be notified to you via email. Continued use of the services after such notification will signify your agreement to such changes.
Any visitor to the site may review the contents and information of all areas except the Candidate area , which is a private area, only accessible through an individual's private ID and password, and the advertiser area which is accessed via the advertiser's individual advertiser ID and password. This site also contains links to other sites and Deragons takes no responsibility for the content, accuracy privacy practices and performance of such sites. Any comments or queries in relation to such linked sites should be directed to the relevant contact for such sites. We will from time to time take site usage information to assist us in the ongoing development of our services on the site. This will not include information that can be used to identify any individual.
We collect information based on your use of our services. Registration deems acceptance that we may use your registered name and email address to inform you about other related services and products, either directly or in-directly by disclosing your registered name and email address to relevant third party companies/organisations.

We reserve the right to access and disclose individually identifiable information to comply with all applicable laws and lawful requests by the appropriate authorities, to operate our systems properly or for our own protection or that of our other users. Furthermore, you agree that we may disclose your Personal Data to:

2.Candidate area
This is a private area. When you register for the Candidate area we need to know your name, email address and various other information about you. In submitting the registration form to us, you acknowledge that you have read, understood and accepted Deragons's Terms & Conditions and the terms of this Privacy Statement.
This information remains on the site and is not passed or presented in any way by Deragons to any third party unless authorised by you.
You may store your CV in the Candidate area, this CV can be used in conjunction with the searchable database which gives clients access to your CV. You accept all terms and conditions when allowing your CV to be searched by Agencies. Deragons.com will QA all CV's prior to publishing them to the live Web Site. The information in this area is used by Deragons for the sole purpose of monitoring CV summaries published on the live Web Site and accessed by Agencies. You may forward this information to a third party in response to opportunities advertised. [Your CV will only be deleted by you unless deleted by Deragons as permitted by the Terms and Conditions.]
Access to the Candidate area is via your own ID and password. You must not divulge your ID and/or passwords to anyone else. Deragons will not be responsible in any way for the consequences of a third party accessing with your ID and password.

3.Advertisements on the Site
All visitors to and users of the site may forward information to specific advertisers who place their advertisements on the site. Deragons takes no responsibility for the information placed on the web site by advertisers nor for information passed to the advertiser by you. Contact is then between the visitor/user who forwarded the information and the advertiser.

4.Advertiser Area
This is a private area. When an advertiser registers, information will be stored on the site, which will allow the advertiser to place advertisements. Access to this area is by the advertisers own ID and password.

5.Protecting Your Information on Deragons
No Internet system is 100% secure. However, Deragons has established a number of security procedures described in this document.
Candidate area members who place files in the system will have them checked for virus infection by the site. However, no virus system can ensure a 100% virus free file and Deragons takes no responsibility for any transmission of viruses from this site.
Our servers are sited in a secure location and access is by authorised personnel only.

6.Updating Your Information
You are solely responsible for the information you provide and for keeping that information up to date. If you decide to cancel your registration from Deragons please contact info@Deragons.com.

7.Data Protection Registration
Deragons endeavour to comply fully with the Data protection Act 1998. All personal data submitted by you to us which is processed by Deragons is done so for the purposes of contacting you about services in which you may be interested. The personal data may be used by Deragons, any member of the group of companies of which Deragons is a member, any agents acting on behalf of Deragons or other such companies, for the purposes outlined above. If you require copies of the personal data held about you by Deragons, you may make a written request to us for such data. There is a fee for the provision of such. In the event that it transpires that we are processing sensitive personal data about you (such as health status or ethnic origin) we will need to contact you for your explicit consent to process this data.
